Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Equofi mobile application, website, and related services (collectively, the "Service") operated by DBTech Pvt Ltd ("DBTech", "we", "us", or "our"), a company incorporated in India.

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if:

  • you are at least 18 years of age or the minimum age required to form a binding contract in your jurisdiction;
  • you can form a binding contract under applicable law;
  • you are not barred from using the Service under applicable law, including Indian law;
  • if you are using the Service on behalf of a household, business, or other group, you have the authority to bind that group to these Terms.

2. Description of Service

Equofi is a personal and family finance management tool that connects to Google Workspace services, uses AI-powered parsing to help organize receipts, messages, and transaction data, and stores your financial records in Google Sheets that you own.

Key capabilities include:

  • Transaction management: logging, categorizing, and reviewing income and expenses across linked accounts and cards;
  • AI-assisted parsing: extracting transactions from receipts (images and PDFs), bulk-uploaded bank statements (CSV, XLSX, PDF), and email;
  • AI chat assistant: a conversational interface for querying and adding financial data, powered by server-side AI and an optional on-device private mode;
  • Analytics and budgets: income/expense trends, category breakdowns, merchant analysis, budget tracking, investments, liabilities, and financial goals;
  • Family finance: shared household ledgers, family member invitations, and expense splits;
  • Voice input: voice-to-text transaction logging with Indian language support;
  • Equofi Pro: an optional paid web plan that unlocks additional features where offered.

The Service is intended to help you organize and understand your financial information. It is not a bank, payment system, broker, lender, tax adviser, accounting firm, or fiduciary. We do not hold, transfer, or custody any of your money or financial assets.

3. No Financial Advice

The Service does not provide legal, tax, investment, accounting, or financial advice. Any data, classification, categorization, insight, budget suggestion, or output generated by the Service — whether produced by AI or otherwise — is for informational and organizational purposes only.

AI-generated outputs may be inaccurate, incomplete, or outdated. You are solely responsible for evaluating whether any information generated by the Service is correct, complete, and appropriate for your specific needs. Always consult a qualified professional for financial, legal, or tax decisions.

4. Account and Security

You may sign in to the Service using:

  • Google OAuth: connects your Google account and authorizes Equofi to create and manage your financial spreadsheet in Google Drive;
  • Phone OTP: creates an Equofi account using your mobile phone number. Phone-only accounts operate in a local-only mode until you connect a Google account to enable sync.

You are responsible for:

  • maintaining the confidentiality of your Google Account credentials and any connected OAuth tokens;
  • keeping your phone number and OTP codes secure;
  • ensuring that anyone using your Equofi account is authorized to do so;
  • keeping your connected Google resources, spreadsheets, and device secure;
  • reviewing all data entries and AI outputs before relying on them.

You must notify us promptly at privacy@equofi.app if you believe your account or connected data has been compromised.

We reserve the right to require re-authentication or additional verification when we detect unusual activity on your account.

5. Paid Plans and Billing

The Android app is currently offered free of charge and does not provide an in-app purchase or checkout flow. Equofi may separately offer a paid Pro plan through its website.

  • Payment processing: web purchases are processed through Razorpay. By completing a purchase, you agree to the payment terms shown at checkout and authorize the stated charge.
  • Pricing: current pricing and the applicable access period are displayed on the Equofi website before purchase. We may change future pricing without affecting an access period already purchased.
  • Access period: the current Pro purchase grants access for the period shown at checkout. It does not renew automatically unless automatic renewal is expressly presented and accepted during checkout.
  • Refunds: payments are non-refundable after access is activated except where required by applicable law or where we expressly agree otherwise.
  • Taxes: prices may or may not include applicable taxes (such as GST). We will clearly indicate when taxes apply.
  • Failed payments: paid access may not be activated when a payment fails or cannot be verified.

6. Connected Services and Third Parties

The Service depends on third-party platforms, including Google Workspace, Google Cloud Services, and Razorpay, as well as AI, email, and infrastructure providers.

We are not responsible for:

  • outages, delays, errors, or changes caused by third-party services;
  • loss or corruption of data caused by changes to third-party APIs, permissions, or terms;
  • third-party actions or failures outside our reasonable control;
  • AI outputs that are inaccurate, hallucinated, or incomplete.

You are responsible for reviewing the terms and policies of third-party services you connect to the Service. Google's terms of service and privacy policy govern your Google Account and connected Sheets separately from these Terms.

7. User Responsibilities

You agree not to:

  • use the Service for unlawful, harmful, fraudulent, or abusive purposes;
  • interfere with or disrupt the Service or its infrastructure;
  • attempt to bypass access controls, rate limits, authentication mechanisms, or security protections;
  • reverse engineer, scrape, decompile, or systematically extract data from the Service, except where expressly permitted or where prohibited by law;
  • upload malicious code, viruses, or harmful content;
  • misrepresent your identity, impersonate others, or share another person's financial data without their knowledge and consent;
  • use the Service in a way that violates the rights of any third party, including privacy, data protection, or intellectual property rights;
  • submit false, misleading, or fraudulent financial data through the Service.

You are responsible for the accuracy of data you enter, upload, or share through the Service. We are not liable for losses resulting from incorrect data you provide.

8. Shared and Household Data

If you use Equofi in a shared household or group setting:

  • you are responsible for ensuring that each participant has consented and has the right to view or edit the data made available to them;
  • you are responsible for the permissions and invitations you extend to other users;
  • changes made by one participant (additions, edits, deletions) may be visible to others in the household and may affect shared records;
  • if a user leaves or is removed from a shared household, their previously submitted data may remain in the shared ledger;
  • data already copied, exported, or otherwise lawfully retained by a participant may not be automatically removed from all locations upon a user leaving the household.

You should only share financial data with people you trust and only invite users who have consented to share their information with your household group.

9. User Content

You retain all rights in the data, text, receipts, images, voice recordings, documents, profile photos, and other content you submit through the Service ("User Content"). Profile photos you upload are stored securely and are accessible only through short-lived signed URLs generated for your authenticated session.

You grant DBTech a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, transform, and display User Content solely to operate, maintain, secure, and provide the Service to you. This license ends when you delete the relevant content or your account, subject to any retention obligations described in our Privacy Policy.

You represent and warrant that: (a) you own or have the necessary rights to the User Content you submit; (b) your submission does not violate any applicable law, regulation, or third-party rights (including privacy, intellectual property, or confidentiality rights); and (c) you have the consent of any other individuals whose personal or financial information is contained in your User Content.

10. Intellectual Property

The Service, including its software, source code, algorithms, design, branding, user interface, features, and original content (excluding User Content and data from third-party services), is owned by DBTech or its licensors and is protected by applicable intellectual property laws, including copyright and trademark law.

You may not copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Service without our prior written consent. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to use the Service as described here.

11. Privacy

Our collection and use of personal data are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

You may delete your Equofi account at any time through the app settings or our account deletion page. Deleting your account removes your Equofi account and associated metadata. Your Google Sheet remains in your Google Drive under your control and is not deleted by us.

12. Service Availability

We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably possible, we will provide advance notice of material changes that affect your ability to access your data.

We do not guarantee that the Service will always be available, uninterrupted, error-free, or free of bugs or security vulnerabilities. The Service depends on third-party infrastructure and APIs that may experience downtime outside our control.

Because your financial data is stored in your own Google Sheets, changes to or discontinuation of the Equofi Service do not delete your data — it remains in your Google Drive and accessible to you independently.

13. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

In particular, we do not warrant that:

  • the Service will always be secure, uninterrupted, or available;
  • AI-generated outputs will be accurate, complete, or fit for any specific purpose;
  • data synced to or from Google Sheets will always be current or free of sync errors;
  • voice transcription will be accurate for all languages, accents, or audio conditions;
  • third-party services (such as Google, Razorpay, and AI/infrastructure providers) will continue to function as expected.

14. Limitation of Liability

To the maximum extent permitted by applicable law, DBTech and its directors, employees, agents, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of or inability to use the Service — even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service will not exceed the greater of:

  • the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim, or
  • INR 0 (zero), if you are on a free account or have not paid us anything.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. In such cases, our liability is limited to the minimum extent permitted by law.

15. Indemnity

You agree to indemnify, defend, and hold harmless DBTech and its affiliates, directors, employees, contractors, and agents from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • your misuse of the Service;
  • your violation of these Terms;
  • your violation of any applicable law, regulation, or third-party rights;
  • content, data, or information you submit, upload, or share through the Service.

16. Termination

We may suspend or terminate your access to the Service if we reasonably believe that:

  • you violated these Terms or our Privacy Policy;
  • your use creates security, legal, operational, or reputational risk for DBTech or other users;
  • we are required to do so by applicable law or a government authority;
  • a third-party service we depend on is discontinued or changes its terms in a way that prevents us from continuing;
  • we discontinue part or all of the Service.

You may stop using the Service at any time and delete your account as described in clause 11. Termination does not affect rights and obligations that by their nature should survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law.

Upon account deletion, your Equofi account and associated metadata are removed from our systems. Your Google Sheet, as a resource you own, remains in your Google Drive and is not affected.

17. Changes to These Terms

We may revise these Terms from time to time. If changes are material, we will update the "Last updated" date above and may provide additional notice (such as an in-app notification or email) where required by law. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to a material change, you should stop using the Service and delete your account.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. The Consumer Protection Act 2019, Information Technology Act 2000, and DPDP Act 2023 apply where relevant.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at privacy@equofi.app. We will attempt to resolve disputes within 30 days of receiving notice.

If informal resolution fails, subject to applicable law, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act 1996, with a sole arbitrator mutually agreed upon or appointed under that Act, seated in Bengaluru, Karnataka. Proceedings shall be conducted in English.

Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from the courts located in Bengaluru, Karnataka, which have non-exclusive jurisdiction for that purpose.

19. Miscellaneous

  • Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and DBTech regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • Language: These Terms are written in English. If they are translated into another language, the English version will prevail in the event of any inconsistency.
